These Terms of Service set forth the legally binding terms and conditions for your use of the Site and Services. Prices and terms of purchase of any transaction for the purchase or sale of COREBIZCOIN shown on the Site are subject to change, whether prior to sale or other affiliated options. Prices to purchase CoreBizCoins generally refer to the price upon view but are subject to change hourly and even daily. Prices exclude any tax liability that may or may not apply to your local jurisdiction.

The trading of goods and products, real or virtual, as well as virtual currencies involves significant risk. Prices can and do fluctuate on any given day. Due to such price fluctuations, you may increase or lose value in your assets at any given moment. Any currency – virtual or not – may be subject to large swings in value and may even become worthless. We use our banking providers in order to receive client moneys and making payments. Our banking providers DO NOT transfer CoreBizCoins, or provide any services in connection with CoreBizCoins.

Securities Laws.

We recognize that the Supreme Court has acknowledged that if someone is purchasing an asset for consumption only, it is likely not a security…[B]ut, the economic substance of the transaction always determines the legal analysis, not the labels.” At the present time, certain high-ranking officials of the Securities and Exchange Commission (SEC)—but not the SEC itself—have concluded that two well-known “cryptocurrencies” or “virtual currencies”—namely, Bitcoin and Ether—are not securities for purposes of the federal securities laws. Unfortunately, that does not give us a lot of guidance on the status of “virtual currencies” in general, because Bitcoin and Ether are only two virtual currencies out of literally hundreds if not thousands currently in “circulation.” The money “[Y]ou might ask, given that these coin sales often look like securities offerings, why are the promoters choosing to package the investment as a coin or token offering? The U.S. Supreme Court case, SEC v. W.J. Howey Co., 328 U.S. 293 (1946)), held that an “investment contract” means “a contract, transaction or scheme whereby a person invests his money in a common enterprise and is led to expect profits solely from the efforts of the promoter or a third party, it being immaterial whether the shares in the enterprise are evidenced by formal certificates or by nominal interests in the physical assets employed in the enterprise.” 328 U.S. at 299-300. COREBIZCOIN is not an investment group or opportunity to be an investor, it is merely a cryptocurrency that is available for use and interaction as the unknown cryptocurrency market evolves into the future.

ACCEPTANCE OF TERMS OF SERVICE

BINDING CONTRACT. BY REGISTERING FOR AND/OR USING THE SITE AND SERVICES IN ANY MANNER, INCLUDING, BUT NOT LIMITED TO, VISITING OR BROWSING THE SITE AND/OR ITS APPLICATIONS, REGISTERING FOR AN ACCOUNT YOU AGREE THAT YOU HAVE READ AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE AND ALL OTHER TERMS AND CONDITIONS, OPERATING RULES, POLICIES, AND PROCEDURES THAT MAY BE PUBLISHED FROM TIME TO TIME THROUGH THE SERVICES BY COREBIZCOIN OR OTHERWISE PROVIDED TO YOU IN CONNECTION WITH THE SERVICES, EACH OF WHICH IS INCORPORATED BY REFERENCE INTO THESE TERMS OF SERVICE. IF YOU ARE ACCEPTING THESE TERMS ON BEHALF OF A COMPANY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO DO SO.

Applicability. These Terms of Service apply to all users of the Site and Services, including, without limitation, users who seek purchase of CoreBizCoins, interactions with cryptocurrency markets, content posts, and users who are contributors of comments, reviews, photos, video, content, information, and other materials or services, unregistered, registered, or otherwise. This Site may contain links to third party sites. Access to any other Internet site linked to this Site is at the user’s own risk. COREBIZCOIN is not responsible for the accuracy or reliability of any information, data, opinions, advice or statements made on these sites, which includes but is not limited to any disclosures registrants make in their profiles about their home. COREBIZCOIN is merely providing You as the User, a license to use the Site and Services and provides this Site and any third-party links merely as a convenience and the inclusion of such links and a User’s registered profile does not imply an endorsement of the same by COREBIZCOIN.

Eligibility

Eligibility Requirements. COREBIZCOIN Business

Our Services. The Services include online platforms on which people or entities that wish (and have the right) to purchase the COREBIZCOIN cryptocurrency ‘CoreBizCoins’ and the use of the CoreBizCoins in the wallet features on this Site may be registered in a User’s profile upon such registration. Registration requires creation of a profile to disclose and obtain information regarding purchasing CoreBizCoins, the projects associated with the CORE Group Companies that CoreBizCoin can be used as a currency, interactive functions with real estate projects, and other potential transactions with respect to such future CORE Group Companies’ projects.

Act Accordingly. You understand and agree that you need to exercise good judgment and common sense; conduct all necessary, appropriate, and prudent inquiries, investigations, research, and due diligence; and take all necessary precautions when reviewing Content about CoreBizCoin and all cryptocurrencies. For purposes of these Terms of Service, the term “Content” includes, without limitation, listings, information, data, text, inquiries, photographs, videos, virtual tours, audio clips, written posts, reviews, feedback, pricing information, market data, comments, software, scripts, disclosure statements, graphics, and interactive features generated, provided, or otherwise made accessible on or through the Site and Services by any User registered on the Site.

Advertising. Some Services may be supported by advertising revenue, and you hereby agree that we may display advertising, promotions, sponsored listings, and the like in connection with the Services on, around, and in connection with your User Content.

License Grant

License. Subject to these Terms of Service, COREBIZCOIN grants each User of the Site and Services a non-exclusive, non-sublicensable, and non-transferable license to access and use the Site and Services and access, download, and participate in use of the features on the Site to purchase CoreBizCoins, and all Content therein for your personal, and/or commercial purposes for this Site. Any reproduction, modification, distribution, storage, or other use of the Site and Services, or any Content therein for any other purpose, is expressly prohibited without prior written permission from COREBIZCOIN. You shall not sell, license, rent, share, publish, or otherwise use or exploit any Content outside the Services for commercial use, in connection with the provision of services to a third party, or in any way that violates any third party right.

Restrictions. Any use of the site not specifically permitted under this agreement is strictly prohibited. The site is owned by COREBIZCOIN and is protected by United States Copyright Laws and International Treaty provisions. You will not sublicense, assign, or transfer the license granted to you under this agreement. Any attempt to sublicense, assign, or transfer any of the rights, duties, or obligations in violation of the provisions of this agreement is void.

Other restrictions

You agree that you will not: (a) impersonate any person or entity or misrepresent your affiliation with any other person or entity; (b) engage in spamming, flooding, harvesting of e-mail addresses or other personal information, spidering, screen scraping, database scraping, or any other activity with the purpose of obtaining lists of users or any other information, including specifically, property listings available through the site; (c) send chain letters or pyramid schemes via the site; or (d) attempt to gain unauthorized access to other computer systems through the site. You agree that you will not use the site in any manner that could damage, disable, overburden, or impair the site or interfere with any other party’s use and enjoyment of the site.

YOUR COREBIZCOIN ACCOUNT

Registration

Account. To utilize certain Services, you will be required to register for an account (an “Account”). You must provide accurate and complete information and keep your Account information updated. You shall not select or use as a username a name (i) of another person with the intent to impersonate that person; (ii) subject to any rights of a person other than you without appropriate authorization; or (iii) that is otherwise offensive, vulgar, or obscene. You are solely responsible for the activity that occurs on your Account and for keeping your Account password secure. You may never use another person’s user account or registration information for the Services without permission. You must notify us immediately of any change in your eligibility to use the Services, any breach of security, or any unauthorized use of your Account. You should never publish, distribute or post login information for your Account. You shall have the ability to delete your Account either directly or through a request made to us. All additional protections associated with establishing an Account are set forth in COREBIZCOIN’s Privacy Policy, which is located on the Site at https://corebizcoin.com/privacypolicy/.

Upon registration of an Account, you establish a username, password, and input an email address to receive communication. The Account will be verified or declined by COREBIZCOIN accordingly. Subsequent to formation, the Account will be prompted to provide additional personal information to complete the set-up of the Account in the “My Account” portion of the Site. Not all information is required to register despite prompts that are available in the registration. Only the minimum amount of information required will establish an Account.

Registration of an account allows registered users of the Services (as “Members”) to:

• Buy CoreBizCoins from COREBIZCOIN in exchange for United States Dollars ($USD) currency;
• Possess eligibility to participate in aspects of COREBIZCOIN’s projects associcated with the CORE Group Companies;
• Withdraw any fiat currency balance held in your Account;
• Transfer CoreBizCoins to a wallet or to other users of with the use of a cryptocurrency exchange (i.e., Finexbox, etc.);
• Use CoreBizCoins for purchasing goods as and where they are accepted; and
• Access and use the Services available on the Site (www.corebizcoin.com).

Your Account is required because it allows the User to purchase CoreBizCoins, cash CoreBizCoins into fiat currency such as United States Dollars ($USD), and the ability to transfer them to another holder of CoreBizCoins. CoreBizCoin holders can engage in peer-to-peer cryptocurrency exchanges that allow CoreBizCoin to be exchanged on those third-party trading platforms. Generally, if a cryptocurrency exchange accepts cryptocurrencies like Bitcoin (by way of example), CoreBizCoin should also be tradeable on those platforms. The terms of use and conditions, including but not limited to any transaction or trading fees may apply on other third-party platforms, which are outside of the control of COREBIZCOIN.

Opening of your Account

By opening and registering for an Account, you expressly represent and warrant:

• That you have accepted you are legally bound by these Terms of Use;
• If you are an individual, that you are at least 18 years of age;
• If you are a legal entity or acting in the name of a legal entity, that you are duly authorised to act on behalf and in the name of the legal entity, and bind the latter validly; and
• That you have the full capacity to accept these Terms of Use, either in your own name or in the name and on behalf of the legal entity you represent, and enter into transactions involving the purchase of CoreBizCoins.

How We Verify Your Account

The creation and use of your Account are subject to verifications, as required by statutory and regulatory obligations incumbent on us. You agree to provide us with the information we request for the purposes of identity verification, compliance with the Site rules, as well as detection of money laundering, terrorism financing, fraud or any other financial crime. The requested information may include Personally Identifiable Information (please refer to our Privacy Policy found here https://corebizcoin.com/privacypolicy/. By providing us with the information we request, you confirm that it is true and accurate, and agree to inform us in case of change concerning such information. Your Account will be blocked until we are satisfied with the information you have provided and determine in our sole discretion that it is sufficient to validate your Account. In the meantime, you will not be allowed to terminate your Account or request the deletion of Personally Identifiable Information processed in the course of verification operations.

We expressly reserve the right to cancel and/or terminate Accounts that have not been verified by the User despite efforts made in good faith by us to contact you to obtain such verification (“Unverified Accounts”). All Unverified Accounts which have been inactive for a period of 6 months or more are further subject to transfer to a third-party escrow (the “Unverified Escrow”), and will no longer be maintained or under our legal responsibility. The administrator/trustee of the Unverified Escrow shall make any and all additional reasonable efforts required by law to determine and contact each Unverified Account owner and, after suitable effort and time has been expended, we may be required to convert the CoreBizCoin or other Digital Assets into fiat (i.e., U.S. Dollars) and send to the User’s last known address in the form of a payment acceptable under applicable laws (i.e., check, cashier’s check, etc.) to reimburse any funds that may or may not be owed, etc.

Funding Your Account

You may fund your Account via wire deposit, credit cards, or Automated Clearing House (“ACH”) deposits.

Credit Card

Credit card payments are made through Square (Square | Solutions For Your Small, Medium & Large Business (squareup.com)). Upon acceptance of a successfully registered Account with COREBIXCOIN, payments can commence for the purchase of CoreBizCoins.

Wire

If you have chosen to fund your Account via wire deposits, funds from a wire deposit will be made available for trading on your Account as soon as they are settled. Please note that the deposit settlement times are subject to bank holidays, the processes of partner banks and the processes of your bank. In addition to that, deposit settlement times may be delayed because of any technical issues.

We do not accept fiat currency deposits from third-party bank accounts. The name on your linked bank account must match the name verified on your COREBIZCOIN Account. If a wire transfer is received from a third-party bank account, we will reject and return the wire immediately.

ACH Payment Method

If you have enabled ACH funding for your Account, ACH deposit amount will be available for purchasing CoreBizCoins on your Account upon receipt of your deposit. We will withhold any funds deposited or any CoreBizCoins bought with them from withdrawal until they are deemed settled. After any such funds are deemed settled, you will be able to make withdrawals again.

Please note that the deposit settlement times are subject to bank holidays, the processes of partner banks and the processes of your bank. In addition to that, deposit settlement times may be delayed because of any technical issues.

We reserve the right to increase or decrease your daily, monthly and overall limits, or make them temporarily or permanently unavailable. This may be done without notice and at our sole discretion.

For all of the above payment methods, all transaction fees involved in processing payments will be passed through to the User and are not the responsibility of COREBIZCOIN. Your Account, once funded, does not and will not earn interest.

Making Purchases

If you are an individual, you can perform an instant purchase transaction using your credit or debit card, or in the other methods stated above to purchase CoreBizCoins. The Fees charge to process instant purchase transactions are set by the third-party payment entity processing the payment and is included/passed through to you as a customer in your purchase of CoreBizCoins.

When making a Card Purchase on our website or a thirty-party mobile application made available for a User to utilize, your card data is automatically stored by the third-party payment entity and card payment service provider; hence the User is subject to the terms and conditions of those entities – not COREBIZCOIN. You can only register a credit or debit card held in your name.

Our appointed payment services providers may save and store payment information, such as credit card or debit card numbers and card expiration dates, entered by you on our Site when you make a card purchase. Such stored payment information may be used as your default payment method for further card purchases on our Site or mobile application (as applicable). At any time, you can delete your card information or enter new card information. If your card has expired, the payment information relating to that particular card may not be stored anymore by the third party-payment service provider and you will be prompted to indicate your new card information the next time you want to proceed with a card purchase. You are responsible for maintaining your card information up-to-date and accurate if the third party-payment service provider requires it. You will only provide information about payment methods that you are authorized to use.

Setting up Your Wallet

Every user must have an Account registered before taking the next step of setting up their digital wallet with COREBIZCOIN. The wallet allows the User to hold their CoreBizCoins in one place before engaging in any transfers of the coins. All Users that register an Account will receive an email from support@corebizcoin.com that their wallet is established upon creation of their Account. When any transaction occurs with the CoreBizCoins in a wallet, support@corebizcoin.com will notify the User every time a transfer event occurs.

Initial Minimum Transaction Quantity

Every initial transaction for CoreBizCoin purchases must be a minimum of ten dollars ($10.00 USD) based upon in value of the CoreBizCoin currency. Thereafter, any denominations of CoreBizCoins can be traded.

Refund Policy

All sales and purchases of CoreBizCoins done with any payment method are final. We do not accept any returns or provide refunds for your purchase of CoreBizCoins from the Site or from any transactions occurring on a cryptocurrency exchange (i.e., Finexbox), except for the cases provided in these Terms of Use.

In the event the exchange of fiat currency to CoreBizCoins is not processed because of any technical issues or high price volatility during the card purchase procedure, COREBIZCOIN will credit the User’s Account with fiat currency.

MAINTAINING YOUR ACCOUNT

Keep Your Information Up-to-Date

We are vigilant in maintaining the security of our Site and the Services. By registering with us, you agree to provide COREBIZCOIN with current, accurate and complete information about yourself, including, for legal entities, information on directors, key personnel and beneficial owners, as well as company resolution to open the Account, as prompted by the registration process, and to keep such information updated. If you are an individual, you further agree that you will not use any Account other than your own or access the Account of any other Member at any time or assist others in obtaining unauthorised access.

The creation or use of Accounts without obtaining our prior express permission will result in the immediate suspension of all said Accounts, as well as all pending purchase/sale offers. Any attempt to do so or to assist others (Users or otherwise), or the distribution of instructions, software or tools for that purpose, will result in the Accounts of such Users being terminated. Termination is not the exclusive remedy for such a violation, and we may elect to take further action against you.

Maintain the Confidentiality of Your Account Information

You are also responsible for maintaining the confidentiality of your Account information, including your password, safeguarding your own CoreBizCoins, and all activity including transactions that are posted to your Account. Any actions on the Site, transactions, orders, Instructions and operations initiated from your Account or using your password are (1) considered to have been made by you and (2) irrevocable once validated using your password or made through your Account. If there is suspicious activity related to your Account, we may, but are not obligated to, request additional information from you, including authenticating documents, and freeze any transactions pending our review. You are obligated to comply with these security requests or accept the termination of your Account. You are required to notify CORBIZCOIN immediately of any unauthorized use of your Account or password, or any other breach of security, by email to privacy@corebizcoin.com. Any User who violates these rules may be terminated, and thereafter held liable for losses incurred by COREBIZCOIN or any user of the Site and Services.

You acknowledge that you will only credit your COREBIZCOIN Account from a bank account that is in your own name and that you will instruct payments from your COREBIZCOIN Account only to a bank account that is in your own name.

We reserve the right to cancel transfers which are made by or sent to third parties.

Keep Your Coin Assets Safe

COREBIZCOIN’s role is limited to providing you with a platform via the Services under which we act solely as a service provider, not as your agent, fiduciary, or any other relationship. Other than CoreBizCoins, we do not store any virtual assets or other digital assets. No custodian services are offered by COREBIZCOIN other than the functioning processes set forth in these Terms of Use.

In order for us to manage the Site, provide the Services and create a direct relationship between you and the third-party custodian(s) to hold the relevant Virtual Assets or other Digital Assets as custodian on your behalf, you appoint COREBIZCOIN as your agent with a perpetual and irrevocable (other than in the event of Account termination) agency authority to act as your agent only to:

• Access and/or transfer CoreBizCoins as required for the operation of the Site and provision of the Services, which includes transferring cryptocurrencies into your wallet or an exchange.
• Share your information with third-party-service provider(s) so that they can be engaged to provide support and services to you;
• Undertake the following events that act, or could act as restrictions, or impact your rights:
  •  Freezing of accounts if suspicious or illegal activity is found;
  •  Termination of our relationship with you and/or your Account;
  •  Suspension of our relationship with you and/or your Account;
  •  Prohibiting wash trading and other activities;
  •  Requiring minimum trade sizes;
  •  Blocking Accounts in certain circumstances;
  •  Applying service downtime and unavailability restrictions;
  •  Complying with enforcement-agency orders or regulatory actions;
  •  Offsetting any outstanding obligation you have to COREBIZCOIN, which may include the sale of any CoreBizCoins in order to cover the outstanding obligation you have; and
• Otherwise act only on your instructions in respect of any CoreBizCoins, including in respect of:
  •  Any buying or selling of CoreBizCoins;
  •  The accessing or transferring of CoreBizCoins between wallets; and/or
  •  Any other purpose or action as instructed by you.

By agreeing to these Terms of Use you acknowledge and agree that in doing so, you instruct us on an irrevocable ongoing basis to undertake all of the above-mentioned actions on your behalf. You cannot revoke this ongoing Instruction by closing your Account, in which case it will lapse only when your Account is closed.

As a result of this limited agency relationship, we do not, and you agree that we do not, have or acquire any rights, title or interest in any CoreBizCoins that are held on your behalf.

We are not an intermediary, do not acquire any rights, title or interest in, and do not assume and have no rights or control over any User’s CoreBizCoins or any other User assets other than in respect of actions taken in accordance with COREBIZCOIN authority and your instructions. As a result, we will not transfer or sell any CoreBizCoins other than in accordance with your Instructions (which includes any instructions mandated by law, regulatory authority or enforcement agencies).

Transaction Recovery

You are fully responsible for any mistakes, errors or defects which may arise in the course of any transaction that leads to partial or complete loss of your CoreBizCoins. COREBIZCOIN shall not be liable for any damages resulting from any actions previously described. COREBIZCOIN shall in no case be liable for any loss, including, but not limited to, transfers between addresses, transactions, deposits or withdrawals resulting from your improper actions or activities, or erroneous transactions, deposits or withdrawals resulting in your CoreBizCoins being lost. COREBIZCOIN shall not compensate you for any losses resulting from such actions or activities.

COREBIZCOIN may provide, in certain circumstances, an investigation and possible recovery of the lost CoreBizCoins as a payable service. Therefore, COREBIZCOIN may, upon the request of a User, utilize its best efforts to attempt to return misdirected CoreBizCoins to the User, but without guarantee of results. Requests for transaction recovery shall be sent to support@corebizcoin.com. After receiving the transaction recovery request, COREBIZCOIN will make a preliminary assessment for each transaction and reserves the right to refuse the recovery of a particular transaction.

COREBIZCOIN will charge an investigation fee for any such investigation. The fee shall amount to 10% of the value of lost CoreBizCoins, but in no case less than $100.00 (USD). The fee will be charged and shall be paid by the User in CoreBizCoins which are subject to the transaction recovery. COREBIZCOIN may investigate transactions that occurred not more than thirty (30) days prior to the date of the request for the recovery of CoreBizCoins. COREBIZCOIN will not attempt to recover transactions with the value below $100.00 USD. Due to the specifics and case-by-case nature, COREBIZCOIN does not, in any way, guarantee success and shall not be liable if the investigation is ineffective or unsuccessful, nor can COREBIZCOIN provide the exact timing for such investigations but will strive to provide feedback within a reasonable time.

Closing Your Account

You may close your Account at any time.

You may terminate your agreement with CoreBizCoin through these Terms of Use and close your Account at any time here, following settlement of any pending transactions.

We may close or suspend or freeze your Account on notice.

We may, by giving notice, at our sole discretion:

• Limit, suspend or terminate your access to the Service, the Site and/or to your Account;
• Prohibit access to the Site and its content, services and tools;
• Delay or remove hosted content; and
• Take technical and legal steps to keep Users off the Site if we suspect that they are creating problems or possible legal liabilities, infringing the intellectual property rights of third parties, or acting inconsistently with the letter or spirit of these Terms.

Additionally, we may, in appropriate circumstances and at our discretion, suspend or terminate Accounts of Users for any reason, including without limitation:

• Attempts to gain unauthorised access to the Site or another User’s account or providing assistance to others attempting to do so;
• Overcoming software security features limiting use of or protecting any content;
• Usage of the Service to perform illegal activities such as money laundering, illegal gambling operations, financing terrorism, or other criminal activities;
• Violations of these Terms of Use;
• A failure to pay or a fraudulent payment for transactions;
• Unexpected operational difficulties; or
• Upon the request of law enforcement or other government agencies.

The suspension or escrow of an Account shall not affect the payment of fees due for past transactions (if any fees are implemented and applicable).

Upon termination or suspension, you shall send details of a valid bank account to allow for the transfer of any currencies credited to their account. This bank account must be held by you. CoreBizCoins may be transferred to a valid bank account only after conversion into a fiat currency, but subject to the bank’s own terms and conditions. COREBIZCOIN makes no representations or warranty guarantees that such transactions to third-party banks can occur. We shall transfer the currencies as soon as possible following your request and within the time frames we specified.

We will arrange to send you the credit balance of your Account; however, in certain circumstances a number of intermediaries may be involved in an international payment and these or the beneficiary bank may deduct charges. We will make all reasonable efforts to ensure that such charges are disclosed to you prior to sending your payment; however, where they cannot be avoided, you acknowledge that these charges cannot always be calculated in advance, and that you agree to be responsible for such charges.

We reserve the right to not convert CoreBizCoins into fiat and to return them to a Wallet that belongs to the User.

For the avoidance of doubt, any action taken by CoreBizCoin to suspend, delay, cancel or freeze any instructions and/or to suspend your Account will not affect your rights, title or interest in respect of your CoreBizCoins on your behalf, but may affect CoreBizCoin’s ability to execute your instructions, which you hereby acknowledge and agree.

Availability of Content. We do not guarantee that any Content will be made available through the Services. We reserve the right, but not the obligation, to (i) remove, edit, or modify any Content in our sole discretion, at any time, without notice to you, and for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such Content or if we are concerned that you may have violated these Terms of Service), or for no reason at all, and (ii) remove or block any Content from the Services. COREBIZCOIN reserves the right to change these Terms of Service from time to time. COREBIZCOIN will notify you of changes to these Terms of Service by updating them on this Site and COREBIZCOIN may apply information as timely as possible setting forth the date on which the update was made. COREBIZCOIN encourages you to retain a copy of these Terms of Service and periodically to check this Website for updates. Your use of this Site indicates your acceptance of the latest version of these Terms of Service. No waiver of any provision in these Terms of Service shall be effective unless made in writing signed by COREBIZCOIN and shall not prevent any subsequent enforcement of these Terms of Service.

User Obligations In a Consummated Transaction. User acknowledges and agrees that each state may have unique rules with regard to the payment and tax implications from a CoreBizCoin purchase. Further, each user acknowledges and agrees that, for all costs associated with purchases of cryptocurrency, COREBIZCOIN makes no representations or warranties regarding any fees associated state or local governments that may or may not apply.

ACKNOWLEDGEMENT. YOU SPECIFICALLY ACKNOWLEDGE THAT COREBIZCOIN SHALL NOT BE LIABLE FOR (I) ANY USER CONTENT, (II) THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY, OR (III) THE CONDITION, LEGALITY, OR SUITABILITY OF ANY PROPERTY, AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS SOLELY AND ENTIRELY WITH YOU.

Further Releases. You shall and hereby do release us from all liability for you having acquired or not acquired housing through the Site or Services. You hereby release COREBIZCOIN and its directors, officers, employees, agents, subsidiaries, affiliates, successors, predecessors, assigns, heirs, service providers, insurers, investors, attorneys, advisors, and suppliers from all claims, demands, and damages of every kind and nature, known and unknown, direct and indirect, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to content accessed through the Site or Services, or any interactions with others arising out of or related thereto, and you expressly waive the provisions of any local law, which provides in substance: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor,” and all similar code provisions in any jurisdiction.

Termination. COREBIZCOIN may terminate your access to all or any part of the Site or Services at any time, with or without cause, with or without notice, and effective immediately, which may result in the forfeiture and destruction of all information associated with your membership. If you wish to terminate your Account, you may do so by following the instructions on the Site and/or by contacting support@corebizcoin.com. Any and all fees paid to COREBIZCOIN hereunder are non-refundable. All provisions of these Terms of Service which by their nature should survive termination shall survive termination, including, without limitation, licenses of any content a user provides, ownership provisions, warranty disclaimers, indemnity and limitations of liability, and arbitration.

ARBITRATION CLAUSE AND CLASS ACTION WAIVER – IMPORTANT – PLEASE REVIEW AS THIS AFFECTS YOUR LEGAL RIGHTS

ARBITRATION. YOU AGREE THAT ALL DISPUTES BETWEEN YOU AND US (WHETHER OR NOT SUCH DISPUTE INVOLVES A THIRD PARTY) WITH REGARD TO YOUR RELATIONSHIP WITH US, INCLUDING, WITHOUT LIMITATION, DISPUTES RELATED TO THESE TERMS OF SERVICE, YOUR USE OF THE SERVICES, AND/OR RIGHTS OF PRIVACY AND/OR PUBLICITY, WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION UNDER THE AMERICAN ARBITRATION ASSOCIATION’S RULES FOR ARBITRATION OF CONSUMER-RELATED DISPUTES, AND YOU AND WE HEREBY EXPRESSLY WAIVE TRIAL BY JURY. DISCOVERY AND RIGHTS TO APPEAL IN ARBITRATION ARE GENERALLY MORE LIMITED THAN IN A LAWSUIT, AND OTHER RIGHTS THAT YOU AND WE WOULD HAVE IN COURT MAY NOT BE AVAILABLE IN ARBITRATION. This dispute resolution provision will be governed by the American Arbitration Association (AAA) rules and not by any state law concerning arbitration. In the event the American Arbitration Association is unwilling or unable to set a hearing date within one hundred and sixty (160) days of filing the case, then either we or you can elect to have the arbitration administered instead by the Judicial Arbitration and Mediation Services (JAMS). Judgment on the award rendered by the arbitrator may be entered in any court having competent jurisdiction. Any provision of applicable law notwithstanding, the arbitrator will not have authority to award damages, remedies, or awards that conflict with these Terms of Service.

NO CLASS ACTION. NEITHER YOU NOR COREBIZCOIN WILL PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION FOR ANY CLAIMS COVERED BY THESE TERMS OF SERVICE. YOU ARE GIVING UP YOUR RIGHT TO PARTICIPATE AS A CLASS REPRESENTATIVE OR CLASS MEMBER ON ANY CLASS CLAIM YOU MAY HAVE AGAINST COREBIZCOIN INCLUDING ANY RIGHT TO CLASS ARBITRATION OR ANY CONSOLIDATION OF INDIVIDUAL ARBITRATIONS. You also agree not to participate in claims brought in a private attorney general or representative capacity, or consolidated claims involving another person’s account, if we are a party to the proceeding.

Severability. If the prohibition against class actions and other claims brought on behalf of third parties contained above is found to be unenforceable, then all of the preceding language in this Arbitration section will be null and void. This arbitration agreement will survive the termination of any such relationship you established with COREBIZCOIN.

Governing Law and Jurisdiction. These Terms of Service shall be governed by and construed in accordance with the laws of the State of North Carolina, including its conflicts of law rules, in the United States of America, and the United Nations Convention on Contracts for the International Sale of Goods shall not be applicable hereto. Without limiting the arbitration obligations set forth above, you agree to submit to the jurisdiction and venue of the state and Federal courts of competent jurisdiction in North Carolina for the purposes of these Terms of Service. YOU AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES OR US MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

User Disputes. COREBIZCOIN reserves the right, without any obligation, to intervene in or monitor disputes between any Site users. You agree to cooperate with and assist us in good faith, and to provide us with such information and take such actions as we may reasonably request, in connection with any disputes involving you. Although COREBIZCOIN may moderate content or disputes in our discretion, COREBIZCOIN has no authority to legally bind third parties or force them to resolve complaints or disputes. Any efforts or statements made by COREBIZCOIN to intervene in or moderate disputes is superseded by this provision, which may not be modified, waived, or released except by a written agreement, dated and signed by the Chief Executive Officer of COREBIZCOIN and dated and signed by the individual or entity to whom the modification, waiver, or release is granted.

As fraudsters and scammers do not avoid trading platforms, our approach is to raise awareness among our customers about common fraudulent practices and offer suggestions on how to avoid being defrauded.

Before you engage in using our Services and by confirming these Terms of Use, you agree and acknowledge that:

1. COREBIZCOIN will not be responsible for any loss or damage suffered by you, due to any illicit or fraudulent activity of third parties – you are solely responsible for your behavior and usage of your Account;
2. COREBIZCOIN does not promote or operate giveaways – official promotions and referral programs it engages in are only communicated through CoreBizCoin-owned channels, e.g. the Site;
3. COREBIZCOIN only communicates with you through the support@corebizcoin.com, privacy@corebizcoin.com, or no-reply@corebizcoin.com addresses;
4. COREBIZCOIN will never call you unexpectedly and without prior notice, regardless of cause or reason;
5. COREBIZCOIN will never ask you to disclose any of your sensitive authentication credentials, regardless of cause or reason, and will never demand remote access to your device or advise you to change your security settings;
6. Your Account credentials should be solely used by you and you shall not disclose your login credentials to any third person or entity. You will ensure that the email and phone number which you used for registering a COREBIZCOIN Account will be exclusively operated and kept in private by you;
7. Any attempt of providing instructions to any person (Users or third party), or distribution of instructions, software or tools, related to onboarding process, operating of the Account and security measures, regardless of purpose, may result in the Accounts of both the defaulting and affected Members being terminated, at the sole discretion of COREBIZCOIN.

Market Manipulation

You are prohibited from engaging or attempting to engage in market manipulation. This prohibition applies to any kind of activity that results in or has the purpose of:

• Artificially controlling or manipulating the price or volume of any of the CoreBizCoins listed on the Site; and
• Manipulating of a benchmark, including, but not limited to, the transmission of false or misleading inputs, or any other action that manipulates the calculation of a benchmark.

Market manipulation will trigger specific measures, ranging from scrutiny, cancellation of orders, suspension or prohibition to trade on the Site and disclosure to third parties including full disclosure to competent authorities.

We reserve the right to suspend, delay or cancel an instruction or series of instructions issued by a User or colluding Users which if executed would result in a price swing of 5% or more of the value of the CoreBizCoins cryptocurrency available on the Site.

You will not take, directly or indirectly, any action designed, or that might reasonably be expected, to cause or result in destabilization or manipulation of the price of CreBizCoins, which are available on the Site.

Export Control. By using the Services, you represent and warrant that (i) neither you nor any information or content proposed by you or inputted into the Site, if any, is located in a country that is subject to a U.S. Government embargo, U.S. export control and economic sanctions laws and regulations, which prohibit U.S. companies and their affiliates, like COREBIZCOIN from engaging in certain transactions with persons from designated countries or that has been designated by the U.S. Government as a “terrorist supporting” country, which may include but is not limited to, Iran, Cuba, North Korea, Sudan and Syria. and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. You also will not use the Services for any purpose prohibited by U.S. law, including the development, design, manufacture, or production of missiles or nuclear, chemical, or biological weapons. You may not use, export, re-export, import, or transfer the Services except as authorized by United States law, the laws of the jurisdiction in which you engaged in any use of the Services, Site, a transaction with COREBIZCOIN, and any other applicable laws. In particular, but without limitation, the Services may not be exported or re-exported (a) into any United States embargoed countries; (b) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Department of Commerce’s Denied Person’s List or Entity List; or (c) into any country or to any person or entity on any similar lists maintained in any applicable jurisdiction.

You acknowledge and agree that all Feedback is and shall be our sole and exclusive property, and you shall and hereby do assign to us all right, title, and interest in and to all Feedback, including, without limitation, all worldwide patent, copyright, trade secret, moral, and other proprietary or intellectual property rights therein, notwithstanding anything else. You will execute documents and take such further acts as we may reasonably request to effectuate the foregoing ownership and rights.

Modification. COREBIZCOIN reserves the right, in its sole discretion, to modify or replace any of these Terms of Service (including, without limitation, COREBIZCOIN’ Privacy Policy, for the avoidance of doubt), or change, suspend, limit, or discontinue the Site or Services (including, without limitation, the availability of any feature, database, or content) at any time. If such modification is material, COREBIZCOIN will post a notice on the Site or send you notice through the Services, via e-mail, or by another appropriate means of electronic communication.
